Terms of Use for Digibeds™ Software & Services

Trademark: Digibeds™ is a registered trademark of Jungleciti Hospitality India Private Limited.

1. Acceptance of Terms

By accessing or using Digibeds™ software, website, or related services, you (“Client,” “User,” or “Hotel”) agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, you must discontinue use immediately.

2. Services Covered

These terms apply to all Digibeds services, including but not limited to:

  • Property Management System (PMS)
  • Restaurant Management Software (RMS)
  • Channel Manager & Multi-Property Integrations
  • Online Booking Engine
  • WhatsApp API & Email Automation
  • Payment Gateway & Multi-Currency Support
  • Stock, POS, and Invoicing Modules

3. Account Registration & Access

  • Users must provide accurate and complete information during registration.
  • Each user is responsible for maintaining confidentiality of login credentials.
  • Jungleciti reserves the right to suspend or terminate accounts for misuse, non-payment, or violation of terms.

4. Subscription & Payments

  • Digibeds operates on a subscription model (monthly/annual plans).
  • All fees are exclusive of applicable taxes (GST, service tax, etc.).
  • Payments are non-refundable unless otherwise stated in the Refund Policy.
  • Failure to make timely payment may result in suspension of access.

5. License & Usage Rights

Jungleciti grants the client a limited, non-exclusive, non-transferable license to use Digibeds software during the active subscription period.

Clients are prohibited from:

  • Reverse-engineering, decompiling, or redistributing the software.
  • Using the software for unlawful or unauthorized purposes.
  • Sharing access credentials with unauthorized parties.

6. Data Ownership

All business and guest data entered by the client remains the sole property of the client. Jungleciti does not claim ownership over such data.

Jungleciti acts solely as a data processor and ensures confidentiality and protection as per our Privacy Policy.

7. Intellectual Property

All trademarks, logos, content, software code, and visual assets of Digibeds™ are the intellectual property of Jungleciti Hospitality India Private Limited and protected under Indian and international IP laws.

Unauthorized copying, reproduction, or resale is strictly prohibited.

8. Third-Party Integrations

Digibeds integrates with third-party services such as payment gateways, OTAs, and WhatsApp Business API. Jungleciti is not liable for downtime, failures, or data loss resulting from third-party systems.

9. Service Availability & Maintenance

  • Jungleciti aims for 99% uptime across its cloud services.
  • Scheduled maintenance or upgrades may result in temporary service downtime, which will be notified in advance when possible.

10. Limitation of Liability

To the maximum extent permitted by law, Jungleciti is not liable for any direct, indirect, incidental, or consequential damages arising from:

  • Use or inability to use Digibeds services.
  • Loss of revenue, profits, or data.
  • Unauthorized access or security breaches beyond reasonable control.

Total liability shall not exceed the total subscription amount paid in the preceding 12 months.

11. Termination

Jungleciti may terminate services or access under the following conditions:

  • Violation of terms or misuse of software.
  • Non-payment or repeated billing failures.
  • Legal or regulatory requirements.

Upon termination, client data will remain available for export for a limited period before secure deletion.

12. Confidentiality

Both parties agree to maintain confidentiality of business data, pricing, and proprietary information. This obligation survives termination of service.

13. Force Majeure

Neither party shall be held liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, internet outages, or government restrictions.

14. Modifications to Terms

Jungleciti reserves the right to amend or update these Terms & Conditions at any time. Updates will be published on this page with a new effective date.

15. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India. All disputes are subject to the exclusive jurisdiction of the courts in Assam, India.
